Course Description

This is an introductory course that begins with law of principal-agent relationships, the most basic business form, then surveys state laws governing the formation and operation of closely held business associations such as general partnerships, limited partnerships, limited liability partnerships (LLPs), limited liability companies (LLCs), and closely-held corporations. The course deals with choice of business entity, forming and financing business enterprises, and management rights within such enterprises. This course is strongly recommended for all law students, not only those who plan to practice business law.

A student who wishes to receive four credits will have the additional requirement of preparing a memorandum analyzing one of the issues we study in the course under the law of Wisconsin, or another state in which he/she plans to practice.
