Course Description
Creation of promissory liability; interpretation of words and conduct; exchange, reliance or formality as necessary for creation of promissory liability; remedies for breach of contract; unfairness as a reason for avoiding contractual liability.
Learning Outcomes:
1. The student will be able to read a case concerning a contract dispute and to be able to identify (a) the main legal issue in play; (b) the parties’ arguments on each side of that legal issue; (c) the court’s announced rule concerning the legal issue; and (d) the court’s reasoning in support of that announced rule.
2. The student will be able to identify and apply contract-law statutory provisions (the UCC) to a contract-law fact pattern.
3. The student will be able to coherently restate and explain key contract-law concepts and doctrines, including “consideration”, the “parol evidence rule”, the “statute of frauds”, and the “doctrine of unconscionability”.
